Our Services
Business Sales
Assetxcel Pty Ltd has a team of dedicated experienced consultants who have
transacted business sales across a very broad range of industries. We all know
that selling a business is more complicated than selling a piece of real estate.
With that in mind, we provide a high level of support for your business sale,
including packaging and advertising, buyer screening and confidentiality, advice
and consultation.
Our aim is to maximise value for our clients and we achieve this through proactive marketing.
We do this by:
- Working closely with vendors to understand the unique dynamics of their business and their standing in the market place.
- Drawing up a profile of potential purchasers most likely to acquire the business.
- Researching databases to identify specific potential purchasers.
- Preparing professional and comprehensive sale documents
- Approaching potential purchasers as part of structured marketing programmes
that may also include advertising, mailings and internet marketing as
appropriate.
Mergers & Acquisitions
Assetxcel Pty Ltd can assist clients with mergers and
acquisitions (M&A) corporate strategy, corporate finance and management dealing
with the buying, selling and combining of different companies that can aid,
finance, or help a growing company in a given industry grow rapidly without
having to create another business entity.
- Vertical mergers occur when two
firms, working at different stages in the production of the same goods,
combine.
- Congeneric mergers occur when two merging firms are in the same
general industry, but they have no mutual buyer/customer or supplier
relationship, such as a merger between a bank and a leasing company.
- Conglomerate mergers take place when the two firms operate in different
industries.
- Horizontal mergers take place when the two merging companies
produce similar products in the same industry.
Joint Ventures
A joint venture
(JV) is an entity formed between two or more parties to
undertake economic activity together. The parties agree to create a new entity
by both contributing equity. They then share the revenues, expenses, and
control of the enterprise.
The venture can be for one specific project only, or
a continuing business relationship. This is in contrast to a strategic alliance,
which involves no equity stake by the participants, and is a much less rigid
arrangement.
Management Buyouts (MBO/MBI)
Management buyouts are similar in all
major legal aspects to any other acquisition of a company. The particular nature
of the MBO lies in the position of the buyers as managers of the company, and
the practical consequences that follow from that.
In particular, the process is
likely to be limited as the buyers already have full knowledge of the company
available to them. The seller is also unlikely to give any but the most basic
warranties to the management, on the basis that the management know more about
the company than the sellers do and therefore the sellers should not have to
warrant the state of the company.
In many cases the company will already be a
private company, but if it is public, then the management will take it private.
Commercial Sales
Assetxcel Pty Ltd specialises in the sale of business and commercial property and
is currently searching for appropriate opportunities for potential investors,
venture capital funds and are also actively seeking quality projects for sale.
