Mergers & Acquisitions

Assetxcel Pty Ltd can assist clients with mergers and acquisitions (M&A) corporate strategy, corporate finance and management dealing with the buying, selling and combining of different companies that can aid, finance, or help a growing company in a given industry grow rapidly without having to create another business entity.

  • Vertical mergers occur when two firms, working at different stages in the production of the same goods, combine.
  • Congeneric mergers occur when two merging firms are in the same general industry, but they have no mutual buyer/customer or supplier relationship, such as a merger between a bank and a leasing company.
  • Conglomerate mergers take place when the two firms operate in different industries.
  • Horizontal mergers take place when the two merging companies produce similar products in the same industry.

Joint Ventures

A joint venture (JV) is an entity formed between two or more parties to undertake economic activity together. The parties agree to create a new entity by both contributing equity. They then share the revenues, expenses, and control of the enterprise.

The venture can be for one specific project only, or a continuing business relationship. This is in contrast to a strategic alliance, which involves no equity stake by the participants, and is a much less rigid arrangement.

Management Buyouts (MBO/MBI)

Management buyouts are similar in all major legal aspects to any other acquisition of a company. The particular nature of the MBO lies in the position of the buyers as managers of the company, and the practical consequences that follow from that.

In particular, the process is likely to be limited as the buyers already have full knowledge of the company available to them. The seller is also unlikely to give any but the most basic warranties to the management, on the basis that the management know more about the company than the sellers do and therefore the sellers should not have to warrant the state of the company.

In many cases the company will already be a private company, but if it is public, then the management will take it private.

An integral facet of any business sale is knowing what the business is worth and Assetxcel can assist you in business appraisals. Business valuations need to take into account past performance as well as future sustainability. To establish the current value of your business you will need to supply:

  • Year to date financials
  • Plant equipment and stock value
  • Suppliers & distributors method of payment arrangements
  • Trademark details
  • Owner's/Director's roles
  • Current staff capabilities
  • Lease arrangements of premises/capital equipment
  • Past performance
  • Future opportunities
  • Licences or permit requirements
  • Main competitors
  • As much additional quantitative information as possible (e.g. monthly sales data, receivables and payables, reconciliations, etc)
